Terms of Service

Effective Date: January 18, 2026

These Terms of Service (“Terms”) govern your access to and use of LogiDraft (the “Service”), operated by Open Automation LLC, a Kentucky limited liability company (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

2. License to Use the Service

Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or personal design purposes.

You may not:

  • Reverse engineer, decompile, or disassemble the Service
  • Copy, modify, or create derivative works of the Service
  • Resell, sublicense, or commercially exploit the Service without written permission
  • Attempt unauthorized access to systems or data
  • Use automated systems to scrape or extract data

All rights not expressly granted are reserved by the Company.

3. Intellectual Property

The Service, including all software, designs, algorithms, formulas, logic systems, documentation, branding, and related materials, is the exclusive property of Open Automation LLC and is protected by intellectual property laws. No ownership rights are transferred to you.

4. User Content

You retain ownership of drawings, project files, and data you upload (“User Content”). You grant the Company a limited, worldwide, non-exclusive license to host, process, store, and display User Content solely for the purpose of providing the Service.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

5. Engineering Disclaimer

LogiDraft is a design productivity tool. It is not a compliance authority, professional engineering service, or safety certification body.

You are solely responsible for verifying all designs, ensuring compliance with applicable codes, standards, and regulations, and validating any calculations or outputs generated by the Service.

6. Subscriptions & Billing

Certain features require a paid subscription. Payments are processed through Stripe. By purchasing a subscription, you authorize recurring charges in accordance with your selected plan.

Subscriptions renew automatically unless canceled prior to the end of the billing period. All fees are non-refundable except as required by law. The Company reserves the right to modify pricing with reasonable notice.

7. Availability

The Service is provided on an “as available” and “as is” basis. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service at any time.

8. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages.

In no event shall the Company’s total liability exceed the greater of:

  • $100, or
  • The amount paid by you to the Company in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Open Automation LLC from any claims, damages, liabilities, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access at our discretion if you violate these Terms. You may stop using the Service at any time. Upon termination, your license to use the Service ends immediately.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes shall be resolved in state or federal courts located in Kentucky.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms constitute the entire agreement between you and Open Automation LLC regarding the Service.
